FOR VALUE RECEIVED, the undersigned does hereby sell and transfer all rights of ownership, including complete title and interest relating directly to the account[s] receivable. See annexure marke "A". The undersigned does hereby warrant that the aforementioned account[s] are correct and due and as of the date and signing of this agreement the undersigned has not received and/or accepted full or part payment for same; give it that said account[s] are sold without any recourse directly to the undersigned in the event of complete non-payment. It is also noted that if said account[s] do not complete full payment within ____ days, said account[s] are open to be transferred back to the undersigned and the undersigned guarantees to repurchase the same for the whole amount of balance owing on said account[s].
