Conditional Sale Agreement

AGREEMENT made this ________________ day of ___________, 20 __, by and between ____________________ (hereinafter "Seller") and ______________________ (hereinafter "Buyer").

Intending to be legally bound, the Buyer and the Seller agree as follows:

1. The Seller will sell to the Buyer and the Buyer will purchase the items listed on Schedule A.

2. The purchase price shall be:

3. The purchase price shall be paid with a down payment of ________________ dollars ($_____) and the remaining amount in equal installments of ______________ dollars ($_________ ), payable on the __________ day of the month.

4. This is a conditional sales agreement. Title will not pass to the Buyer until payment in full has been received by the Seller.

5. The Seller retains the right to repossess the items sold, subject to any apportionment for payments received, should the Buyer fail or refuse to make all necessary payments.

6. Termination. This Agreement may be terminated before its initial term is completed by any party at any time, for any reason, provided that at least 30 days advance written notice of termination is given to the non-terminating party by the terminating party.

7. Arbitration. Any disputes pertaining to said contractual arrangement being affairs that cannot be settled amicably shall be submitted to an arbitrator under the Rules of the American Arbitration Association or like organization in the City of [city], whose award may be reduced to judgment in any court of competent jurisdiction.

8. Amendment. This Agreement may be modified or amended, if the amendment is made in writing and is signed by both parties.

9. Severability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
